Welcome to Uwharrie Manufacturing LLC. These Terms of Service, together with any policies referenced herein, govern your access to and use of our website, online store, products, content, tools, and related services.

The terms “Uwharrie Manufacturing,” “we,” “us,” and “our” refer to Uwharrie Manufacturing LLC, a North Carolina limited liability company based in Albemarle, North Carolina. We design, manufacture, market, and sell professional-use industrial tools and accessories, including the Anchor Spanker™, for use by trained contractors, utility crews, fiber construction crews, telecommunications contractors, and other qualified professional users.

Our website and online store are powered by Shopify, which enables us to provide e-commerce services to you.

Please read these Terms carefully. They include important information about product safety, professional-use requirements, warranty disclaimers, limitations of liability, dispute venue, and your responsibilities when purchasing or using our products.

By visiting, accessing, browsing, purchasing from, or otherwise using our website or services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not access, use, or purchase from our website.

Our products are intended for commercial, industrial, construction, utility, telecommunications, and professional field use.

By purchasing, using, or allowing others to use our products, you represent and warrant that:

  2. you are purchasing for professional, commercial, or authorized business use;

  3. you or the intended operator are trained and competent in the use of high-torque impact tools and related equipment;

  4. you will read, understand, and follow all safety instructions, product warnings, manuals, inserts, labels, and other documentation provided with or made available for the product;

  5. you will comply with all applicable federal, state, and local laws, regulations, jobsite rules, safety requirements, and industry practices.

Our products are not intended for use by minors, untrained users, impaired users, or unauthorized persons.

SECTION 2: ACCESS, ACCOUNT, AND CUSTOMER INFORMATION

To use certain features of our website or place an order, you may be asked to provide information such as your name, company name, email address, billing address, shipping address, payment information, and phone number.

You represent and warrant that all information you provide is accurate, current, complete, and that you have the legal authority to provide it.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account to another person or entity.

SECTION 3: OUR PRODUCTS

Uwharrie Manufacturing designs and sells professional-use tools and accessories, including the Anchor Spanker™, intended to improve field efficiency in appropriate anchor installation applications.

We make reasonable efforts to accurately describe and depict our products. However, product descriptions, images, dimensions, specifications, and availability may change without notice. Product appearance may vary slightly from photographs, screen images, prototypes, renderings, or prior versions.

We reserve the right to modify, improve, discontinue, or limit the availability of any product at any time.

Unless expressly stated in writing, our products are not represented as suitable for every tool, jobsite, anchor type, soil condition, installation method, or end-use application.

SECTION 4: PRODUCT SAFETY AND USER RESPONSIBILITY

Certain Uwharrie Manufacturing products, including the Anchor Spanker™, are intended for use with high-torque industrial impact equipment. Improper use may result in serious injury, death, property damage, equipment damage, or utility damage.

You are solely responsible for ensuring that:

  1. the product is appropriate for your intended use;

  2. the operator is trained and qualified;

  3. all product instructions and warnings are read and followed;

  4. the product is inspected before each use;

  5. compatible tools and accessories are used;

  6. all tool manufacturer instructions are followed;

  7. appropriate personal protective equipment is worn;

  8. all underground utilities and hazards are identified before use;

  9. the jobsite is safe and suitable for the intended work;

  10. the product is not misused, abused, modified, overloaded, or used outside its intended purpose.

You agree not to use our products in any unsafe, unlawful, unauthorized, or unintended manner.

SECTION 5: TOOL COMPATIBILITY AND EQUIPMENT SELECTION

The Anchor Spanker™ is intended for use only with compatible, properly maintained, industrial-grade 1" impact wrenches and related equipment.

You are responsible for confirming compatibility between the product, impact wrench, anchors, hardware, and jobsite conditions before use.

Do not use our products with:

  1. damaged tools;

  2. modified tools;

  3. worn anvils;

  4. improper or non-retained connections;

  5. incompatible anchors or hardware;

  6. equipment outside manufacturer specifications;

  7. tools or accessories that cannot be safely controlled by the operator.

Always follow the instructions, warnings, torque ratings, and safety requirements of the impact wrench manufacturer and any other equipment manufacturer involved in the work.

SECTION 6: SAFETY INSTRUCTIONS, WARNINGS, AND MANUALS

Product safety instructions, warning inserts, manuals, labels, QR codes, online instructions, videos, and other materials may be provided with or made available for our products.

You agree to read, understand, retain, and follow all such materials before using any product.

Failure to follow product instructions, warning labels, manuals, safe operating procedures, applicable laws, utility locating requirements, or jobsite safety practices may result in serious injury, death, or property damage.

If you do not understand any instruction, warning, or product requirement, do not use the product until you have contacted Uwharrie Manufacturing and obtained clarification.

SECTION 7: UNDERGROUND UTILITIES AND JOBSITE CONDITIONS

Before installing anchors or performing any ground-engaging work, you must identify underground utilities, obstructions, and hazards.

You are responsible for contacting applicable utility locating services, including 811 where applicable, before beginning work.

Failure to identify underground utilities may result in electrocution, explosion, utility damage, serious injury, death, or substantial property damage.

Uwharrie Manufacturing is not responsible for unsafe jobsite conditions, failure to locate underground utilities, improper anchor placement, improper installation methods, or use of products in unsuitable soil, terrain, weather, or field conditions.

SECTION 8: PROHIBITED PRODUCT USES

You may not use Uwharrie Manufacturing products:

  1. for any unlawful purpose;

  2. by or under the control of minors;

  3. by untrained or unauthorized operators;

  4. while impaired, fatigued, or under the influence of drugs or alcohol;

  5. with damaged, modified, incompatible, or improperly maintained tools;

  6. with damaged, bent, modified, or incompatible anchors or hardware;

  7. from ladders or unstable positions;

  8. near energized utilities unless properly authorized and protected;

  9. in explosive or hazardous environments unless specifically approved for such use;

  10. after the product shows signs of cracking, bending, weld damage, deformation, excessive wear, or abnormal movement;

  11. in any manner inconsistent with the product’s intended purpose, instructions, or warnings.

You may not modify, weld, grind, drill, alter, repair, reverse engineer, copy, or create derivative versions of our products without our prior written permission.

Unauthorized modification voids any applicable warranty and may create hazardous operating conditions.

SECTION 9: ORDERS

When you place an order, you are making an offer to purchase. Uwharrie Manufacturing reserves the right to accept, reject, modify, or cancel any order for any reason, including suspected fraud, pricing errors, availability issues, export concerns, or misuse concerns.

Your order is not accepted until we confirm acceptance. We must receive and process payment before an order is accepted.

Please review your order carefully before submitting it. We may be unable to accommodate cancellation or change requests after an order has been accepted or processed.

If we reject, modify, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or phone number provided at the time of order.

SECTION 10: PRICES, PAYMENT, AND BILLING

Prices, discounts, product availability, shipping charges, taxes, promotions, and related terms are subject to change without notice.

The price charged for a product will be the price in effect when the order is placed, unless corrected due to error, promotion terms, or order adjustment.

Unless expressly stated, posted prices do not include taxes, shipping, handling, duties, customs fees, import charges, or other governmental charges.

You agree to provide current, complete, and accurate purchase, payment, billing, shipping, and account information.

You represent and warrant that:

  1. you are authorized to use the payment method provided;

  2. payment information is accurate;

  3. charges incurred by you will be honored;

  4. you will pay all charges incurred at the posted or agreed prices, including taxes, shipping, and handling.

SECTION 11: SHIPPING AND DELIVERY

Delivery times are estimates only and are not guaranteed.

We are not liable for delays caused by shipping carriers, weather, customs processing, supply constraints, labor disruption, incorrect shipping information, or events outside our reasonable control.

Unless otherwise stated in writing, title and risk of loss pass to you when we transfer the product to the shipping carrier.

You are responsible for inspecting shipments upon receipt and notifying us promptly of any visible shipping damage, missing items, or order discrepancies.

SECTION 12: RETURNS, EXCHANGES, AND REFUNDS

Returns, exchanges, and refunds are governed by our Refund Policy, available here under 'Refund Policy'

Products that have been used, modified, damaged, abused, installed, altered, or subjected to field conditions may not be eligible for return unless required by applicable law or expressly approved by Uwharrie Manufacturing.

Shipping charges, handling charges, and other non-product costs may be non-refundable unless otherwise stated in our Refund Policy or required by law.

SECTION 13: LIMITED WARRANTY

Unless a separate written warranty is provided with a product, Uwharrie Manufacturing warrants only that products manufactured by us will be free from material defects in workmanship at the time of shipment.

This limited warranty does not cover:

  1. normal wear and tear;

  2. misuse, abuse, neglect, or improper storage;

  3. unauthorized modification or repair;

  4. improper installation or operation;

  5. use with incompatible tools, anchors, or hardware;

  6. use outside product instructions, warnings, or intended purpose;

  7. damage caused by jobsite conditions, soil conditions, utilities, rocks, roots, obstructions, or third-party equipment;

  8. cosmetic variations that do not affect function.

Our sole obligation under any applicable limited warranty is, at our option, repair, replacement, or refund of the purchase price of the product.

This limited warranty gives you specific legal rights, and you may also have other rights that vary by jurisdiction.

SECTION 14: DISCLAIMER OF WARRANTIES

Except as expressly stated in writing by Uwharrie Manufacturing, the website, services, content, and products are provided “as is” and “as available.”

To the fullest extent permitted by law, Uwharrie Manufacturing disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, durability, title, non-infringement, performance, suitability, and safety for any particular application.

We do not warrant that:

  1. our website or services will be uninterrupted, secure, timely, or error-free;

  2. product descriptions, images, or content will be free of errors;

  3. any product will meet your expectations or be suitable for your specific application;

  4. any product will be compatible with all tools, anchors, hardware, soil conditions, or jobsite conditions;

  5. use of any product will eliminate risk of injury, death, property damage, or equipment damage.

Some jurisdictions do not allow limitations on implied warranties, so certain limitations may not apply to you.

SECTION 15: LIMITATION OF LIABILITY

To the fullest extent permitted by law, Uwharrie Manufacturing LLC, its members, managers, officers, employees, contractors, affiliates, agents, suppliers, service providers, licensors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost savings, lost data, loss of business, replacement costs, downtime, or similar damages.

To the fullest extent permitted by law, Uwharrie Manufacturing shall not be liable for damages arising from:

  1. misuse or improper use of any product;

  2. failure to follow instructions, warnings, labels, inserts, or manuals;

  3. use by untrained or unauthorized operators;

  4. use with incompatible or damaged tools, anchors, hardware, or equipment;

  5. unauthorized modification or repair;

  6. unsafe jobsite conditions;

  7. failure to locate underground utilities;

  8. violation of laws, regulations, or jobsite rules;

  9. ordinary wear and tear;

  10. third-party tools, equipment, carriers, platforms, or services.

Nothing in these Terms is intended to limit liability where such limitation is prohibited by applicable law.

SECTION 16: INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Uwharrie Manufacturing LLC, Shopify, and each of their respective affiliates, members, managers, officers, directors, employees, agents, contractors, suppliers, licensors, and service providers from and against any losses, damages, liabilities, claims, demands, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  1. your breach of these Terms;

  2. your violation of law or regulation;

  3. your misuse of the website or services;

  4. your purchase, resale, distribution, installation, or use of any product;

  5. your failure to follow product instructions, warnings, manuals, or safety materials;

  6. your use of products with incompatible or modified equipment;

  7. your unauthorized modification, repair, alteration, or reverse engineering of any product;

  8. any injury, death, property damage, equipment damage, utility damage, or other harm caused by your acts, omissions, employees, contractors, agents, customers, or end users.

We may control the defense and settlement of any indemnifiable claim at your expense, including choice of counsel. You agree to cooperate fully in the defense of any such claim.

SECTION 17: COMMERCIAL RESALE, DISTRIBUTION, AND EXPORT

Unless expressly approved by Uwharrie Manufacturing in writing, purchases are for your own use or internal business use and not for unauthorized resale, distribution, export, or incorporation into other products.

You may not export, re-export, ship, sell, or transfer our products in violation of U.S. export laws, sanctions, trade restrictions, or applicable foreign laws.

Commercial resellers, distributors, dealers, or representatives must have a separate written agreement with Uwharrie Manufacturing.

SECTION 18: INTELLECTUAL PROPERTY

Our website, content, product designs, images, graphics, photographs, videos, text, logos, trade names, trademarks, service marks, slogans, product names, packaging, safety materials, documentation, and related materials are owned by Uwharrie Manufacturing, its affiliates, suppliers, or licensors and are protected by U.S. and foreign intellectual property laws.

Uwharrie Manufacturing, Anchor Spanker™, product names, logos, designs, and related slogans are trademarks, trade names, or proprietary identifiers of Uwharrie Manufacturing.

You may not use, reproduce, distribute, modify, copy, reverse engineer, publicly display, create derivative works from, or commercially exploit any part of our website, content, products, designs, or intellectual property without our prior written permission.

All rights not expressly granted are reserved by Uwharrie Manufacturing.

SECTION 19: OPTIONAL TOOLS AND THIRD-PARTY SERVICES

We may provide access to tools, features, applications, payment processors, shipping providers, or services offered by third parties.

Such tools and services are provided “as is” and “as available.” We do not control and are not responsible for third-party tools or services.

Your use of third-party tools or services is at your own risk and may be subject to separate third-party terms and privacy policies.

SECTION 21: RELATIONSHIP WITH SHOPIFY

Our online store is powered by Shopify, which enables us to provide e-commerce services.

All purchases from our store are made directly with Uwharrie Manufacturing LLC, not Shopify.

By using our website or purchasing products, you acknowledge and agree that Shopify is not responsible for any aspect of your purchase, product use, product performance, injury, damage, loss, or claim arising from products or services sold by Uwharrie Manufacturing.

You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to purchases or transactions with Uwharrie Manufacturing.

Because our online store is hosted by Shopify, Shopify may collect and process information related to your access to and use of our website and services. SECTION 29: GOVERNING LAW AND VENUE

These Terms and any separate agreements whereby we provide products or services shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles.

To the fullest extent permitted by law, you and Uwharrie Manufacturing agree that any dispute, claim, lawsuit, or proceeding arising out of or relating to these Terms, our website, our services, or any product purchased from us shall be brought exclusively in the state or federal courts located in North Carolina.

Unless otherwise required by law, venue shall be in the county and judicial district where Uwharrie Manufacturing LLC is headquartered or otherwise legally located.

You consent to personal jurisdiction in such courts.

SECTION 30: SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed.
